The Branch Registration Process

To successfully register your branch, there are several key requirements you need to fulfill. First, you must provide proof of your foreign company’s registration from the relevant authority, which should be no older than one month. Additionally, we will need a copy of the company’s deed of incorporation, and if the articles of association are in a separate deed, these must also be included.

You will also need to confirm the registered address of your company in the Netherlands. If you do not have a valid address, we can assist by providing a registered address. Simply let us know if you require this service.

For company representatives, including the director, sole shareholder, or any supervisory board members, certain identification documents must be submitted. If these individuals cannot be physically present in the Netherlands for identification, a legalized copy of their passport along with their signature must be provided. You will also need to supply their address details, and if they are foreign residents, an original notary-certified proof of address is necessary.

If any of these representatives are legal entities, such as a Limited Liability Company (Ltd), additional documentation will be required. This includes proof of incorporation for the legal entity and an explanation of the company’s legal structure, especially if there are multiple layers of ownership or if there are ultimate beneficial owners (UBOs) involved.

In cases where a representative is appointed to handle the registration on behalf of the company, a power of attorney document may be required to authorize this individual.

Beyond registration with the Dutch Chamber of Commerce, it is also crucial to register your branch with the Dutch Tax Authorities for corporate income tax, VAT, and payroll taxes where applicable.
